Terms & Conditions
These Terms & Conditions (the “Terms”) govern the Advanced Ductless Preferred Partner Program (the “Program”), operated by Advanced Ductless, Inc. (“Advanced Ductless,” “we,” “us”), 1101 N Main St, Suite A, Randolph, MA 02368. By enrolling in the Program — by email, by phone, or by submitting a signup — or by submitting a referral, you (“Partner,” “you”) agree to these Terms.
1.The Program
The Program rewards enrolled Partners for referring homeowners and businesses that purchase a qualifying heat pump installation from Advanced Ductless. The Program is non-exclusive: you may work with other companies, and we work with other partners. Participation is free, and there is no quota and no limit on the number of referrals you may make.
2.Eligibility & Enrollment
To participate you must be at least 18 years old, based in the United States, and enrolled in the Program. To enroll, contact us at office@aductless.com or (617) 802-4848 and complete the short signup we send you. Upon enrollment we will issue you a unique referral link and/or partner code (“Referral Link”) used to credit referrals to you.
Employees and contractors of Advanced Ductless and members of their households are not eligible. We may accept or decline any enrollment at our discretion.
3.Licensed Professionals
Some professions restrict or prohibit accepting referral compensation — including, for example, attorneys (Mass. Rules of Professional Conduct), certified public accountants, real estate brokers and salespersons (whose compensation generally must be paid through their brokerage), and insurance producers. You are solely responsible for confirming that your participation and any compensation comply with the rules of your profession. If you cannot accept cash referral fees, tell us at enrollment: we offer a non-cash alternative (reciprocal referrals and Program recognition), or, where permitted, a benefit directed to the referred customer instead of to you. We may decline to pay a fee that we reasonably believe would violate applicable professional rules.
4.Qualified Referrals
A “Qualified Referral” is a referral that meets all of the following:
- The referred customer was submitted through your Referral Link, or identified you by name or partner code when they first contacted us (or you introduced them to us directly, e.g. by sharing their contact information with their permission);
- The referred customer is a new customer — not an existing Advanced Ductless customer, and not an active lead in our records during the six (6) months before the referral;
- The referred customer signs an installation agreement with Advanced Ductless within one hundred eighty (180) days of the referral; and
- The installation is completed and paid in full (a “Completed Project”).
If more than one partner refers the same customer, the first referral recorded in our system is credited. Referrals of yourself, your own business, or your immediate household are welcome as customers but do not earn referral fees. Service calls, maintenance visits, and repairs are not Completed Projects. We decide Qualified Referral status reasonably and in good faith based on our records, and our records control.
5.Referral Fees
The referral fee is determined by the Project Value of the Completed Project: the total contract price payable to Advanced Ductless for the project after any Advanced Ductless discounts are applied (and before any Mass Save® rebate is credited against the price). For each Qualified Referral, we pay:

A Project Value of at least $7,000 is required to earn a referral fee.
There is no cap on the number of Qualified Referrals or total fees you may earn. Projects sold under special promotions or program offerings that we designate as excluded from the Program (identified in the applicable promotion materials) do not earn referral fees. We may change the fee amounts or structure prospectively (see Section 12); a change does not affect referrals already submitted before the change.
6.Payment
We pay referral fees within thirty (30) days after the later of (a) completion of the installation and (b) our receipt of the customer’s final payment. Before we can pay you, you must provide a completed IRS Form W-9. If we pay you $600 or more in a calendar year, we will issue you an IRS Form 1099-NEC. You are solely responsible for all taxes on referral fees. Fees are paid by check or another method we make available. Fees may be paid and administered on our behalf by our program administrator, Homewise, Inc.; in that case, your W-9 may be collected by, and any Form 1099-NEC issued by, the entity that pays you. Advanced Ductless remains responsible for the Program and for fees properly earned under these Terms. If a Completed Project is canceled, reversed, or refunded, no fee is owed (and any fee already paid for it may be offset against future fees).
7.Rebates & Incentives
As an approved Mass Save® Heat Pump Installer, we assist customers with eligibility checks and applications, but we do not guarantee any rebate outcome, and no referral fee depends on a rebate being approved. You must never promise, quote, or guarantee a rebate amount, price, or approval to anyone on our behalf.
8.Partner Conduct & Marketing
When talking about Advanced Ductless or the Program you agree to:
- Use only marketing materials we provide or approve, and describe our services accurately;
- Identify yourself truthfully — never as an employee or agent of Advanced Ductless, and never as a representative of Mass Save® or any utility;
- Only refer people who have agreed to be contacted, and only share contact information you have their permission to share;
- Comply with all applicable laws, including consumer-protection, telemarketing, and anti-spam laws (e.g., the TCPA, CAN-SPAM, and Massachusetts consumer-protection law) — no robocalls, unsolicited texts, spam, or door-to-door solicitation on our behalf;
- Not use the Advanced Ductless or Mass Save® names or logos except in materials we provide or approve in writing; and
- Not make any commitment on our behalf — pricing, scheduling, rebates, and contract terms come only from us.
Preferred Partner badge. While you are enrolled, we grant you a limited, revocable, non-exclusive permission to display the “Preferred Partner” badge and other materials we provide, in the form we provide them. This permission ends automatically when your participation ends. With your consent, we may identify you or your business as a Preferred Partner in Program marketing.
We may suspend or remove a Partner who violates this Section, and fees generated through fraud, misrepresentation, or unlawful conduct are forfeited.
9.Customers Are Ours to Serve
We decide, in our sole discretion, whether to quote, contract with, schedule, or complete work for any referred customer, and on what pricing and terms. A referral gives you no interest in the customer relationship and no right to compensation other than the referral fee described in these Terms. We owe no fee for referrals that do not become Qualified Referrals.
10.Relationship of the Parties
Participation makes you an independent participant in a marketing program. It does not create an employment, agency, joint-venture, franchise, or legal-partnership relationship. The word “Partner” is a marketing term only. You have no authority to act for or bind Advanced Ductless.
11.Confidentiality & Customer Information
Non-public information we share with you about the Program, our pricing, or our customers is confidential. Customer information you receive through the Program may be used only to make the referral and for no other purpose. We handle referred customers’ information in accordance with applicable law.
12.Term, Termination & Program Changes
Either you or we may end your participation at any time, with or without cause, by written notice (email is sufficient). We may modify, suspend, or discontinue the Program (including fee amounts) at any time; material changes will be communicated by email or by posting updated Terms, and your continued participation after notice constitutes acceptance. Upon termination or discontinuance: (a) referrals you submitted before the end date remain eligible if the referred customer signs an installation agreement within ninety (90) days after the end date (and within the 180-day window in Section 4), with the fee paid when the project becomes a Completed Project; except (b) if we terminate you for breach, fraud, or unlawful conduct, unpaid fees are forfeited. Sections 3 and 6–16 survive termination.
13.Disclaimers
The Program is provided “as is.” We make no promises about the volume of business, the amount of fees you will earn, the acceptance of any referral, or any rebate outcome. We may correct errors in fee calculations based on our records.
14.Limitation of Liability
To the maximum extent permitted by law: (a) neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages arising out of the Program; and (b) our total liability arising out of the Program will not exceed the referral fees earned by you in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
15.Indemnification
You will indemnify and hold harmless Advanced Ductless and its owners, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your marketing activities, or your violation of law or third-party rights.
16.General
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules, and any dispute will be brought exclusively in the state or federal courts located in Massachusetts. You may not assign these Terms without our written consent; we may assign them in connection with a sale or reorganization of our business. These Terms (together with any signup materials we provide) are the entire agreement about the Program and replace any prior discussions. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver.
